SRL (LLC) formation

Setting up a limited liability company (SRL) is the most widely used way of organising a business in Romania, owing to the flexibility it offers and the limitation of the associates' liability. The procedure involves preparing the necessary documentation and registering the company with the Trade Registry (ONRC), in accordance with the legal provisions.

The process includes reserving the name, establishing the registered office, choosing and authorising the CAEN codes, drafting the articles of association and preparing the documents necessary for registering the company. After the file is filed with the Trade Registry (ONRC), the company acquires legal personality and may begin its activity.

Although the formation procedure is an administrative one, the choice of the ownership structure, the appointment of the administrator, the establishment of the business activity and the drafting of the articles of association produce long-term legal effects. These decisions influence the management of the company, its legal obligations and the possibility of developing the business in the future.
